Terms and Conditions

Please read these Terms and Conditions carefully before using the XignAll website or purchasing a license.

1. Parties

These Terms govern the relationship between:

and you (“Licensee”, “you”) — the individual or legal entity that downloads, installs, or uses the XignAll software or accesses the XignAll website at xignall.io.

2. Definitions

Application — the XignAll desktop software for Windows, macOS, and Linux.
Website — the website at xignall.io and its subdomains.
License Key — a unique alphanumeric code that activates a paid plan of the Application.
Free Plan — the no-cost tier of the Application with limited features as described on the pricing page.
Pro Plan — the paid individual license tier.
Server Edition — the paid organizational license tier for headless/automated signing.

3. License Grant

3.1 Free Plan

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to install and use the Application under the Free Plan on any number of devices for personal or commercial use, subject to the feature limitations of the Free Plan.

3.2 Pro Plan

Upon payment and activation of a Pro Plan License Key, we grant you a non-exclusive, non-transferable license to install and use the Application on up to 3 devices simultaneously. The license is for a single named individual and may not be shared with other users.

3.3 Server Edition

Server Edition licenses are issued per organization. Terms are agreed individually — contact contact@xignall.io.

3.4 Subscription vs. Perpetual

Monthly / Annual subscriptions: the license is valid for the paid period. It renews automatically unless cancelled before the renewal date via your Lemon Squeezy account portal.
Perpetual license: grants you a permanent right to use the version of the Application available at the time of purchase, plus all minor and patch updates released within 12 months of purchase. Major version upgrades may require a new purchase or upgrade fee.

4. Restrictions

You may not:

Reverse engineer, decompile, or disassemble the Application except where expressly permitted by applicable law;
Rent, lease, lend, sublicense, or transfer the License Key or Application to any third party;
Use the Application to process documents on behalf of third parties as a service bureau without a Server Edition license;
Remove or alter any copyright notices or license information in the Application;
Use the Application to sign documents fraudulently or in violation of applicable law.

5. Intellectual Property

The Application, including its source code, compiled binaries, UI, documentation, and all related intellectual property, is the exclusive property of Liviu Stoica. These Terms do not transfer any ownership rights. The Application incorporates open-source libraries; their licenses are listed in THIRD_PARTY_NOTICES.txt included in the installation directory.

6. Payment and Refunds

Payments are processed by Lemon Squeezy LLC. Prices are displayed exclusive of VAT. Applicable VAT is added at checkout based on your country of residence.

Refund policy: You may request a full refund within 14 days of purchase if the Application does not function as described on the pricing page on your operating system. Refund requests must be sent to contact@xignall.io with your order number and a description of the issue.

After 14 days, refunds are granted at our sole discretion for documented technical failures.

Subscription cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time.

7. License Activation

The Application requires internet access to activate and periodically verify a paid license. Verification occurs at application startup. A grace period of 30 days offline is supported — the Application continues to function during this period without an internet connection.

If you replace your device, you may transfer your license via the self-service portal at xignall.io or by contacting contact@xignall.io. Unauthorized sharing of a License Key will result in the key being deactivated without refund.

8. Document Processing and Privacy

Documents you sign using the Application are processed entirely on your local machine. No document content, certificate data, or signing credentials are transmitted to our servers. We have no access to documents you sign. See our Privacy Policy for full details.

9. Disclaimer of Warranties

The Application is provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

The Application will be error-free or uninterrupted;
Digital signatures produced by the Application will be accepted by every third-party system or jurisdiction (acceptance depends on your certificate, the receiving party’s systems, and applicable law).

Legal validity of signatures: XignAll produces PAdES-format digital signatures. Legal validity depends on the type of certificate used. Qualified electronic signatures (QES) produced with a qualified certificate from a QTSP accredited under eIDAS are legally equivalent to handwritten signatures in all EU member states. The Licensor makes no representations regarding the legal status of signatures in non-EU jurisdictions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Liviu Stoica be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Application or Website, including but not limited to loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the amount paid by you for the license in the 12 months preceding the claim, or €100 if you are a Free Plan user.

Nothing in these Terms limits liability that cannot be limited under applicable Romanian or EU consumer protection law.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of România, without regard to conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Târgoviște, Dâmbovița, România.

If you are a consumer resident in the EU, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. EU Consumer Rights

If you are a consumer in the European Union, you benefit from mandatory consumer protection provisions of the law of your country of residence that cannot be overridden by contract.

13. Changes to These Terms

We reserve the right to modify these Terms. If we make material changes, we will post a notice on the Website and update the “Last updated” date. Continued use of the Application or Website after the effective date constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your license immediately, without notice, if you breach these Terms. Upon termination, you must cease all use of the Application and delete all copies. Sections 5, 9, 10, and 11 survive termination.
